Advantages of a Written Business Partnership Agreement Form

Due to lack of legal requirements in many jurisdictions, many modern business partnerships get underway based on an oral agreement. At the start of the business, partners usually see eye to eye and cannot even imagine instances in which they would argue, leave alone disagree. However, as the business proceeds, just as marriage after the honeymoon, disagreements arise and partners loose the oneness they had once shared.

That is when a written business agreement form becomes a valuable security. With spoken agreements, agreements about sharing of debts, responsibilities and profits usually arise. If taken to court, partners are usually compelled to share the debts, profits or responsibilities equally if they cannot prove that they had agreed to share then otherwise. To make an oral agreement tenable in a court of law is almost an impossible feat. If the agreement was written however, the court will only restrict itself to the confines and parameters provided for by the written agreement form.

Creating a general partnership through the spoken agreement is not wise. Partners, more so business partners, frequently fall into disagreements. To adjudicate such disagreements and to protect the entitlement of each member as agreed during the launch of the business, general partnership agreement should be written down in a legal form. This is especially important for business partnerships since business easily develop difficulties in clearing debts.

In most cases the wrong partners are compelled by law to accept liability of debts incurred by the business when the general partnership is created with unwritten agreement. With a sound written partnership agreement, such cases would be adjudicated fairly. Profits and responsibilities will be shared equally if there is no written agreement to dictate otherwise such as based on the amount of capital contributed by each partner. A written business agreement form serves to prescribe such particulars in ways that can actually be enforced by law.
